Environmental Compliance Each Borrower and its Subsidiaries conduct in the ordinary course of business a review of the effect of existing Environmental Laws and claims alleging potential liability or responsibility for violation of any Environmental Law on their respective businesses, operations and properties, and as a result thereof the Borrowers have reasonably concluded that, except as specifically disclosed in [Schedule 509], such Environmental Laws and claims could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect

Environmental ComplianceCompliance. (a) Each BorrowerLoan Party and its Subsidiarieseach Restricted Subsidiary conduct in the ordinary course of business a review of the effect of existing Environmental LawsLaws, Environmental Liabilities and claims alleging potential liability or responsibility for violation of any Environmental LawClaims on their respective businesses, operations and properties, and as a result thereof the Borrowers havesuch Loan Party has reasonably concluded that, except as specifically disclosed in [Schedule 509]6.09], compliance with such Environmental Laws and claimsor any Environmental Claims could not, individually or in the aggregate, reasonably be expected to have a Material Adverse EffectEffect.

Section # Environmental Compliance Each BorrowerCompliance. The Borrower, the Parent and its Subsidiarieseach Consolidated Entity conduct in the ordinary course of business in connection with the purchase of real estate a review of the effect of existing Environmental Laws and claims alleging potential liability or responsibility for violation of any Environmental Law on their respective businesses, operations andor with respect to such properties, and as a result thereof the BorrowersLoan Parties have reasonably concluded that, except as specifically disclosed in [Schedule 509]5.09] (as amended by any Compliance Certificate or Request for Credit Extension containing supplemental information thereto), any violation of such Environmental Laws and claims couldwould not, individually or in the aggregate, reasonably be expected to have a Material Adverse EffectEffect.

Environmental Compliance Each Borrower and its Subsidiaries conduct inSection #12Environmental Compliance. In the ordinary course of business a review ofits business, each Borrower reviews the effect of existing Environmental Laws on the business, operations and claims alleging potential liabilityproperties of such Borrower and its Subsidiaries, in the course of which it identifies and evaluates associated liabilities and costs (including capital or responsibilityoperating expenditures required for violationclean-up or closure of properties presently or previously owned, capital or operating expenditures required to achieve or maintain compliance with environmental protection standards imposed by Law or as a condition of any Environmental Lawlicense, permit or contract, any periodic or permanent shutdown of any facility or reduction in the level or change in the nature of operation conducted thereat, any costs or liabilities in connection with off-site disposal of wastes or Hazardous Substances, and any actual or potential liabilities to third parties, including employees, and any related costs and expenses). Except as set forth on their respective businesses, operations and properties, and as a result thereof[Schedule 5.12], on the Borrowers havebasis of this review, each Borrower has reasonably concluded that, except as specifically disclosed in [Schedule 509],that such associated liabilities and costs, including the costs of compliance with Environmental Laws and claims could not, individually or in the aggregate, reasonably be expectedLaws, are unlikely to have a Material Adverse Effectmaterial adverse effect on the business, financial condition, results of operations or prospects of [[Released U.K. Borrowers:Organization]] and its Consolidated Subsidiaries, taken as a whole.
